TERMS & CONDITIONS, PRESCRIPTION POLICY, CANCELLATION & REFUND POLICY

By accessing this website, creating an account, placing an order, submitting payment, or purchasing any product from GoodSleep Healthcare Solutions ("Company," "we," "our," or "us"), you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions, Prescription Policy, Cancellation & Refund Policy, and all other policies referenced herein.

If you do not agree to these terms, do not use this website or place an order.


1. CUSTOMER RESPONSIBILITY

Customers are solely responsible for reviewing all product descriptions, product requirements, prescription requirements, policies, pricing, specifications, warnings, disclosures, and purchase conditions before placing an order.

Failure to read, review, understand, locate, or notice any information displayed on this website shall not relieve the customer of any responsibility, obligation, fee, requirement, or condition associated with the purchase.

By placing an order, the customer represents and warrants that all information provided is accurate, complete, and truthful.


2. PRODUCT INFORMATION

GoodSleep Healthcare Solutions makes reasonable efforts to maintain accurate product information, pricing, availability, specifications, and descriptions. However, errors, omissions, pricing inaccuracies, inventory discrepancies, typographical errors, manufacturer changes, and technical issues may occur.

We reserve the right to correct any error, modify product information, adjust pricing, discontinue products, limit quantities, refuse orders, or cancel transactions at any time without prior notice.

Submission of an order does not constitute acceptance of an order.


3. PRESCRIPTION-REQUIRED PRODUCTS

Certain products sold on this website, including but not limited to CPAP machines, APAP machines, BiPAP devices, PAP therapy equipment, oxygen-related equipment, and other regulated medical devices, require a valid prescription and/or supporting documentation before they may be dispensed, fulfilled, or shipped.

Prescription-required products are identified throughout the website through product notices, product descriptions, prescription-required indicators, checkout disclosures, policy links, and other notifications.

By purchasing a prescription-required product, the customer acknowledges and agrees that:

  • Prescription requirements were disclosed prior to purchase.

  • A valid prescription may be required before shipment.

  • Required documentation must be submitted and approved before fulfillment.

  • Failure to review product requirements does not excuse compliance.

  • No prescription-required product will be shipped without required documentation.


4. PRESCRIPTION DOCUMENTATION REQUIREMENTS

Customers purchasing prescription-required products must provide all required documentation before shipment.

Documentation must be:

  • Valid and current.

  • Issued by a licensed healthcare provider.

  • Complete and legible.

  • Applicable to the product purchased.

  • Compliant with applicable regulatory requirements.

GoodSleep Healthcare Solutions reserves the right to reject, deny, request clarification, request replacement documentation, or require additional documentation at its sole discretion.

Orders requiring prescription verification will remain on hold until all documentation has been received and approved.


5. ORDER PROCESSING & PAYMENT AUTHORIZATION

Orders begin processing immediately after submission.

By placing an order, the customer authorizes GoodSleep Healthcare Solutions to charge the payment method provided for the full transaction amount.

Order processing activities may include:

  • Payment processing.

  • Merchant service verification.

  • Fraud prevention screening.

  • Compliance review.

  • Prescription verification.

  • Inventory allocation and reservation.

  • Administrative processing.

  • Customer support activities.

Payment authorization or payment capture does not guarantee product availability, order approval, fulfillment, shipment, or delivery.

Orders may be delayed, suspended, canceled, or denied pending verification, documentation review, inventory availability, fraud screening, compliance review, or other operational requirements.


6. CANCELLATIONS, REFUNDS & ADMINISTRATIVE PROCESSING FEE

Customers are expected to review all product requirements prior to placing an order.

If a customer places an order for a prescription-required product and subsequently:

  • Fails to provide required documentation;

  • Is unable to obtain a prescription;

  • Submits unacceptable documentation;

  • Requests cancellation;

  • Changes their mind;

  • Refuses to comply with prescription requirements; or

  • Otherwise prevents fulfillment of the order through customer action or inaction;

any approved refund may be subject to a cancellation, administrative processing, and inventory allocation fee of up to twenty percent (20%) of the order total.

This fee is not a penalty.

The fee is intended to recover a portion of costs incurred by GoodSleep Healthcare Solutions after an order has entered the processing workflow, including but not limited to:

  • Merchant processing fees.

  • Payment processing expenses.

  • Fraud prevention costs.

  • Administrative labor.

  • Compliance review.

  • Prescription verification efforts.

  • Inventory reservation and allocation.

  • Customer service resources.

  • Operational expenses associated with order processing.

Refund requests are reviewed individually.

GoodSleep Healthcare Solutions reserves the right to approve, deny, reduce, adjust, condition, or refuse refunds to the fullest extent permitted by applicable law.

Any refund, accommodation, exception, or courtesy adjustment provided shall not constitute a waiver of any policy, right, remedy, or future enforcement.


7. SHIPPING & DELIVERY

Estimated delivery dates are estimates only and are not guaranteed.

GoodSleep Healthcare Solutions shall not be responsible for delays resulting from:

  • Missing prescription documentation.

  • Customer response delays.

  • Inventory shortages.

  • Manufacturer delays.

  • Carrier delays.

  • Weather conditions.

  • Supply chain disruptions.

  • Regulatory reviews.

  • Acts of God.

  • Circumstances beyond our reasonable control.

Risk of loss transfers upon delivery to the shipping address provided by the customer.


8. RIGHT TO REFUSE SERVICE

GoodSleep Healthcare Solutions reserves the right, at any time and for any lawful reason, to:

  • Refuse service.

  • Refuse future business.

  • Refuse fulfillment.

  • Limit quantities.

  • Suspend accounts.

  • Terminate accounts.

  • Cancel transactions.

  • Decline orders.

  • Deny refunds.

  • Request additional verification.

Nothing in these Terms shall obligate GoodSleep Healthcare Solutions to complete any transaction.


9. NO MEDICAL ADVICE

Information contained on this website is provided for informational and purchasing purposes only and does not constitute medical advice, diagnosis, treatment recommendations, or healthcare services.

Customers should consult qualified healthcare professionals regarding all medical decisions.


10. INTELLECTUAL PROPERTY

All website content, logos, graphics, product descriptions, text, images, software, policies, designs, and materials are the exclusive property of GoodSleep Healthcare Solutions and may not be copied, reproduced, distributed, modified, or used without prior written authorization.


11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, GoodSleep Healthcare Solutions, its owners, officers, employees, affiliates, contractors, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or economic damages arising from:

  • Website use.

  • Product purchases.

  • Order cancellations.

  • Refund disputes.

  • Prescription documentation issues.

  • Fulfillment delays.

  • Shipping delays.

  • Product availability issues.

  • Customer misunderstandings.

  • Website errors.

The maximum liability of GoodSleep Healthcare Solutions for any claim shall not exceed the amount actually paid by the customer for the specific transaction giving rise to the claim.


12. INDEMNIFICATION

Customers agree to defend, indemnify, and hold harmless GoodSleep Healthcare Solutions and its owners, officers, employees, affiliates, contractors, successors, and assigns from any claims, damages, liabilities, losses, expenses, costs, and attorneys' fees arising from:

  • Violation of these Terms.

  • Submission of inaccurate information.

  • Failure to provide required documentation.

  • Misuse of products.

  • Violation of applicable law.

  • Fraudulent activity.

  • Customer negligence or misconduct.


13. INFORMAL DISPUTE RESOLUTION

Before initiating arbitration, litigation, or any formal proceeding, customers agree to provide written notice of the dispute and allow GoodSleep Healthcare Solutions thirty (30) days to attempt informal resolution.


14. BINDING ARBITRATION AGREEMENT

To the fullest extent permitted by law, any dispute, claim, controversy, or cause of action arising from or relating to this website, any purchase, any product, any refund request, any cancellation, any communication, or these Terms shall be resolved exclusively through final and binding arbitration.

Either party may pursue qualifying claims in small claims court where permitted by law.

The arbitrator shall have exclusive authority to determine the interpretation, enforceability, applicability, and scope of this arbitration provision.

Judgment upon the arbitration award may be entered in any court having jurisdiction.


15. CLASS ACTION WAIVER

To the fullest extent permitted by law, customers agree that all disputes shall be brought solely in an individual capacity.

Customers expressly waive any right to:

  • Participate in a class action lawsuit.

  • Participate in class arbitration.

  • Act as a class representative.

  • Join claims with other individuals.

  • Pursue representative, collective, consolidated, or private-attorney-general actions.

The arbitrator may award relief only to the individual party seeking relief.


16. LIMITATION PERIOD

Any claim arising from or relating to any transaction, product, order, refund request, cancellation, website use, or customer relationship with GoodSleep Healthcare Solutions must be initiated within one (1) year from the date the claim arose or shall be permanently barred to the fullest extent permitted by law.


17. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict-of-law principles.

Any court proceeding permitted under these Terms shall be brought exclusively in the State of Texas.


18. ELECTRONIC CONSENT

Customers consent to receive agreements, notices, disclosures, communications, receipts, policies, and records electronically.

Electronic acceptance, electronic signatures, electronic acknowledgments, and electronic records shall have the same force and effect as original written documents and handwritten signatures.


19. MODIFICATIONS

GoodSleep Healthcare Solutions reserves the right to modify, amend, replace, or update these Terms at any time without prior notice.

Continued use of the website following any modification constitutes acceptance of the revised Terms.


20. ENTIRE AGREEMENT

These Terms & Conditions constitute the entire agreement between the customer and GoodSleep Healthcare Solutions regarding website use, product purchases, prescription-required products, cancellations, refunds, and dispute resolution.

BY ACCESSING THIS WEBSITE, CREATING AN ACCOUNT, CHECKING AN ACKNOWLEDGMENT BOX, OR PLACING AN ORDER, THE CUSTOMER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS & CONDITIONS IN THEIR ENTIRETY.
